Hopwall: Terms of Service
These Terms are between Trendiing Ltd (company 14895321, VAT 443484290), a company registered in England and Wales, trading as Hopwall ("we", "us"), and the business that signs up for the Service (the "Agency", "you").
By creating an account or using the Service, you agree to these Terms.
1. Definitions
- Service: the Hopwall hosted bio-link service, the agency portal, and related features.
- Creator: an individual whose content the Agency manages and whom the Agency adds to the Service.
- Domain: a domain name the Agency owns and points at the Service.
- Live Domain: a Domain that the Service has verified and is serving.
- Destination: the Creator's own OF account that a Domain sends visitors to.
2. The Service
2.1 The Service lets the Agency serve bio links on Domains it owns. Each link sends visitors to the Creator's Destination.
2.2 The Service includes:
(a) detecting in-app browsers (including Instagram, TikTok, X, Snapchat and Facebook) and moving visitors to a full browser where the device allows it;
(b) serving a neutral page to automated platform crawlers instead of the Destination;
(c) a daily health check of each Live Domain, with alerts to the Agency;
(d) the ability to promote a pre-configured spare Domain to replace a restricted one;
(e) click analytics for each Creator and each Domain.
2.3 All Domains under a Creator must point to that Creator's own OF account. Tracking parameters may differ between Domains.
2.4 The Agency buys, owns, renews and controls its Domains and its registrar accounts. We do not buy, register or renew Domains on the Agency's behalf. The Agency must set each Domain's nameservers to the values shown for that Domain in the portal.
2.5 We may change, improve or withdraw features. If a change materially reduces the Service, we will give reasonable notice.
3. Fees and billing
3.1 The fee is £50 per Creator per month, with unlimited Domains per Creator. VAT is charged on top at the applicable rate.
3.2 When a Creator is billed. Signing up and saving a card is free: we verify the card without charging it. A Creator becomes billable when it first has a Live Domain.
(a) When the Agency's first Creator goes Live, the subscription starts and the first month is charged at once.
(b) When a further Creator goes Live during a billing month, a prorated fee for the rest of that month is charged at once.
(c) When a Creator stops being billable (it no longer has a Live Domain, for example because its Domains were blocked or removed), the change applies from the next billing date. There is no refund or credit for the rest of the month in which it stops.
(d) A Creator that goes Live again in the same billing month is not charged again for that month.
(e) While no Creator is billable, nothing is charged from the next billing date.
[Solicitor to confirm this clause. It reflects the commercial decision of 16 October 2026: Creators added are charged now (prorated); Creators removed come off from the next bill, with no partial refund.]
3.3 Fees are billed monthly in advance by card through our payment provider (Stripe). The Agency authorises us to charge its saved card on each billing date and whenever a Creator goes Live, as described in clause 3.2.
3.4 Grace period and suspension. If a payment fails, the Agency has 3 days to pay. If the fee is still unpaid after that, every Domain on the account will serve a neutral page and stop redirecting until the account is paid in full. Normal service will resume once payment clears. Suspension does not reduce the fees owed.
3.5 Fees already paid are non-refundable, except where the law requires a refund or these Terms say otherwise.
3.6 We may change the fees by giving at least 30 days' written notice. The new fees will apply from the next billing period after the notice ends.
3.7 Referral credit. If another business signs up for the Service using the Agency's referral link (a "Referred Agency"), we will credit the Agency's account with 20% of each invoice the Referred Agency pays, excluding VAT, for 12 months from the Referred Agency's first paid invoice. In particular:
(a) the credit is account credit only, applied to the Agency's future invoices; it has no cash value, cannot be withdrawn, transferred or exchanged, and lapses if the Agency's account is closed;
(b) the referral must be made through the link at the Referred Agency's sign-up; it cannot be added or changed afterwards, and each Referred Agency has only one referrer;
(c) credit applies only while the Agency is itself a paying customer;
(d) if a Referred Agency's payment is refunded, credited or disputed, the related credit is reversed;
(e) no credit is earned where the Agency and the Referred Agency are the same business or connected (for example, sharing a company email domain, payment card or sign-up network); and
(f) we may withhold or reverse credit where we reasonably suspect abuse of the referral programme, and we may change or end the programme on 30 days' notice, without affecting credit already earned. [Solicitor to confirm.]
4. Agency warranties
The Agency warrants, and will keep warranting for as long as it uses the Service, that:
(a) it is authorised by each Creator to manage that Creator's links and to direct traffic to that Creator's Destination;
(b) each Creator is at least 18 years old and has verified their age and identity with every platform they use;
(c) each Creator is lawfully on, and follows the terms of, the platform hosting their Destination;
(d) the Agency owns or has the right to use each Domain it adds;
(e) all information the Agency gives us is accurate and kept up to date.
The Agency will provide evidence of (a) and (b) within 7 days of our reasonable request.
5. Platform risk: no guarantees
5.1 The Agency acknowledges and accepts that:
(a) some of what the Service does may breach the terms, policies or community guidelines of Instagram, TikTok, Meta, X, Snapchat or other third-party platforms. That includes showing platform crawlers a different page from the one human visitors see, and moving visitors out of in-app browsers;
(b) those platforms may at any time restrict, block, label, shadow-limit, suspend or remove Domains, links, posts or Creator accounts. They may do this because of the Service or for unrelated reasons;
(c) any action a platform takes against a Creator's account, content or links is entirely the Agency's risk, and we have no liability for it;
(d) the Agency has decided for itself, with any advice it considers appropriate, to use the Service on this basis.
5.2 We give no guarantee of reach, views, clicks, click-through rate, subscriptions, conversions or revenue, of how long any Domain or link will survive on any platform, or that any platform will not restrict a Domain. The health check and spare-domain features help the Agency respond to restrictions. They do not prevent restrictions.
5.3 Platform behaviour changes without notice. We do not guarantee that in-app browser escape will work on every app, operating system or app version.
6. Acceptable use
The Agency must not, and must ensure its staff and Creators do not, use the Service:
(a) to link to or promote illegal content, or content showing or involving anyone under 18;
(b) to link to or promote content made or shared without the consent of every person depicted;
(c) to impersonate any person or business, or to mislead visitors about who a link belongs to;
(d) for any Creator the Agency does not represent, or to send traffic to an account that is not the named Creator's own;
(e) for phishing, malware, spam, credential harvesting or fraud;
(f) to interfere with, overload or reverse-engineer the Service.
We may suspend any Domain, Creator or account straight away, without notice, if we reasonably believe this clause or clause 4 has been breached. We may also report illegal content to the relevant authorities.
7. Data and privacy
7.1 We record click analytics for each visit: the platform or app it came from, device type, country, network (ASN), the time, and whether the visitor clicked through. We store this data in anonymised or pseudonymised form and use it to provide the Service, detect crawlers and abuse, and improve the Service.
7.2 We do not sell visitor personal data. We do not use visitor data to build profiles of individuals.
7.3 For Agency account data (users, billing contacts), we act as controller under UK GDPR and handle it in line with our privacy notice. [Solicitor to confirm: controller/processor roles for visitor analytics, whether a data processing agreement is needed, cookie/PECR position, and retention period.]
7.4 The Agency's analytics belong to the Agency. We may use aggregated, non-identifying data that does not name the Agency or any Creator.
8. Intellectual property
We own the Service, the portal and all related software. The Agency owns its Domains and its account data. The Agency gives us a licence to use Creator names, handles and Domains only so far as needed to provide the Service.
9. Liability
9.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
9.2 We are not liable for loss of profit, revenue, subscribers, followers, accounts, goodwill or data, or for any indirect or consequential loss. We are also not liable for any loss arising from third-party platform action (clause 5) or from the Agency's registrar, Domains or nameserver settings.
9.3 Our total liability arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, is limited to the fees the Agency paid us in the 3 months before the event that gave rise to the claim.
9.4 The Agency will indemnify us against claims, losses and costs arising from a breach of clause 4 or clause 6, or from content at any Destination.
10. Term and termination
10.1 These Terms run from sign-up until terminated.
10.2 Either party may terminate on 30 days' written notice. The Agency can also remove a Creator in the portal, and that Creator stops being billable from the next billing date (clause 3.2(c)).
10.3 Either party may terminate immediately by written notice if the other materially breaches these Terms (including non-payment past the grace period, or a breach of clause 4 or clause 6), or becomes insolvent.
10.4 When these Terms end, the Domains stop being served. The Agency keeps ownership of its Domains and can point them elsewhere. The Agency may export its analytics for 30 days after termination. Fees for the current billing period remain due.
10.5 Clauses 3 (for unpaid fees), 5, 7, 9 and 11 survive termination.
11. General
11.1 Notices to us go to hello@hopwall.com. Notices to the Agency go to the account email.
11.2 We may use subcontractors and infrastructure providers to deliver the Service.
11.3 Neither party is liable for delay or failure caused by events beyond its reasonable control.
11.4 These Terms are the entire agreement between the parties about the Service. If any provision is found unenforceable, the rest of these Terms stay in effect.
11.5 We may update these Terms by giving 30 days' notice. If the Agency keeps using the Service after that, it accepts the update.
11.6 These Terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
